It governs the relationship between AAI and you, the Property Buyer, Property Owner, or licensed Real Estate Agent (collectively, “User,” “You,” or “Your”). The Platform is designed to enhance property transactions by providing AI-powered tools and services.
By accessing or creating an account on AAI’s Platform, you confirm your understanding and acceptance of these TOU. **IF YOU DO NOT AGREE TO THESE TERMS, PLEASE REFRAIN FROM USING THE PLATFORM OR SERVICES.**
AAI may update these TOU as needed, with changes effective upon posting. Material modifications will be communicated via email to your account email address, an in-platform alert, or by updating the “Last Updated” date. Continued use of the Platform signifies acceptance of revised TOU.
To access the AAI Platform, Users must be at least 18 years old and provide a valid email address, phone number, secure password, and payment details. Real Estate Agents must maintain an active license and proof of insurance, where applicable. AAI reserves the right to suspend or terminate any account for failure to comply with these TOU or if account security is compromised.
Users agree to uphold the security of their account, and AAI assumes no responsibility for unauthorized activity resulting from User negligence. Please contact AAI immediately if unauthorized account activity is suspected.
By creating an account, you agree to receive SMS and email notifications regarding key account updates, transaction statuses, reminders, and other essential information. These notifications are designed to optimize your transaction experience. You can opt out by replying “STOP” to any SMS message, but doing so may limit Platform functionality.
AAI provides an advanced suite of AI tools to facilitate property transactions by automating document management, offering predictive analytics, managing deadlines, and enhancing communication across all transaction stakeholders. Our Platform centralizes complex workflows, reduces transaction friction, and improves accuracy and compliance for Users.
AAI is not a real estate broker, attorney, or financial advisor. It operates strictly as a technology provider, offering a Platform that empowers licensed Real Estate Agents and property stakeholders to manage transactions more efficiently. AAI relies on data provided by Users and third parties; AAI does not verify the authenticity of third-party data and assumes no responsibility for the content of property listings, agent qualifications, or transaction documents.
Service fees are calculated based on your usage, the volume of transactions, and any premium features selected. All payments are processed through Stripe, which acts as a third-party payment provider, and AAI assumes no responsibility for Stripe-related issues. By using the Platform, you agree to the payment processing terms set forth by Stripe, including but not limited to their data handling practices as detailed on their website at https://stripe.com/privacy.
AAI charges a service fee for administrative and processing costs, and these fees are non-refundable, except as explicitly determined by AAI. In cases where fees are retained or remitted to AAI, we will notify Users via billing statements. The Platform may include an additional convenience fee for certain advanced services or expedited requests, which will be displayed at checkout.
Transactions booked through AAI’s Platform, including property inspections, document reviews, and closings, may be rescheduled based on availability. Users are encouraged to initiate any rescheduling requests as soon as possible to ensure adjustments can be made. Fees for last-minute rescheduling may apply. If a force majeure event impacts a scheduled transaction, AAI reserves the right to issue a refund, offer a rescheduling credit, or cancel services at its discretion without penalty to AAI.
Transparency and continuous improvement are core values at AAI. After each transaction, Users may rate and review their experience. User feedback helps improve our services and creates accountability within our User community. However, AAI reserves the right to remove feedback that violates Platform policies, including harassment, discriminatory language, or misleading information. Users found to be repeatedly submitting inappropriate reviews may have their account suspended or terminated.
As a User, you represent that all information you provide on the Platform is accurate and complies with all applicable laws. Real Estate Agents and property owners confirm that they possess the necessary credentials, training, and insurance to conduct property transactions. Users warrant that all transactions conducted on the Platform will comply with local, state, and federal regulations, and AAI does not assume liability for the content or legality of any transaction conducted on the Platform.
**Assumption of Risk:** By using AAI, you acknowledge that property transactions involve inherent risks, including but not limited to financial, regulatory, and logistical complexities. You agree to indemnify and hold AAI harmless from any claims arising from transactions conducted on the Platform.
All Platform content—including proprietary algorithms, user interfaces, workflows, and analytics tools—is the intellectual property of AAI. Users are granted a limited, revocable, non-sublicensable license to access and use the Platform solely for conducting property transactions.
You may not, without AAI’s written consent: (i) reproduce, modify, or distribute any portion of the Platform; (ii) engage in reverse engineering or decompilation of any Platform component; (iii) use Platform data or content for any unlawful or unauthorized purpose. Any rights not expressly granted herein are retained by AAI and its licensors.
AAI is committed to protecting the privacy of User data. We adhere to industry-standard data protection practices and comply with applicable data privacy regulations. By using AAI, you consent to our data collection, storage, and usage practices, which include, but are not limited to:
The AAI Platform integrates with third-party applications such as DocuSign for document management and Stripe for payment processing to enhance transaction efficiency and user convenience. By using these integrations, you consent to sharing the minimum necessary data with these third parties as required for the integration.
AAI does not warrant the performance or availability of any third-party service, nor are we responsible for issues arising from third-party integration failures. Users should consult the respective third-party’s terms of service and privacy policies for more information on their data practices.
**Platform As-Is Basis**: The AAI Platform is provided on an "as-is" and "as-available" basis. AAI disclaims all warranties, express or implied, regarding the Platform’s reliability, performance, or accuracy, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
**Limitation of Liability**: To the fullest extent permitted by law, AAI shall not be liable for indirect, incidental, special, or consequential damages arising from or related to the use or inability to use the Platform. This includes, but is not limited to, lost profits, personal injury, or property damage, even if AAI has been advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Platform is to discontinue use.
You agree to defend, indemnify, and hold AAI and its affiliates harmless from any claims, losses, damages, or expenses (including legal fees) arising from or related to: (i) your use of the Platform, (ii) your breach of these TOU, or (iii) any infringement of third-party rights by you.
AAI is not liable for performance delays or interruptions due to events beyond its control, including natural disasters, technical failures, or regulatory constraints. AAI reserves the right to suspend or terminate services under such conditions without penalty.
AAI reserves the right to suspend or terminate any User’s access to the Platform if there is evidence of a TOU breach, unlawful activity, or if User actions are deemed harmful to the Platform or its Users. Terminated Users forfeit any remaining services without refund, unless otherwise specified by AAI.
These TOU are governed by the laws of the State of Texas, without regard to conflict of laws principles. All disputes shall be resolved within the jurisdiction of Texas courts, and Users waive any objection to such jurisdiction.
In the event of a dispute, Users agree to engage in mediation, followed by binding arbitration, conducted in Texas. Class action waivers apply, limiting claims to individual resolution. AAI reserves the right to seek equitable relief if necessary to enforce TOU or protect intellectual property rights.
Severability: Should any part of these TOU be deemed unenforceable, the remaining terms will remain in effect. Entire Agreement: These TOU represent the full agreement between AAI and Users, superseding any prior understandings.
AAI may communicate notices via email, SMS, in-platform alerts, or physical mail. Users should address correspondence to AAI’s registered agent or as otherwise specified on the Platform. Notices are deemed received upon dispatch or posting.
